GENERAL USAGE TERMS

COX & PAS VENTURES PRIVATE LIMITED, a company registered under the Companies Act, 2013, having its registered office at The DLF Palm Court, 1, Mehrauli-Gurgaon Road, DLF Colony, Sector 14, Gurugram, Haryana – 122007, and its affiliates (hereinafter collectively referred to as “Letscelebrate”, “we”, “our”, or “us”), require that any guest or registered user (collectively referred to as “you” or “your”) of the website, domain name(s), and related mobile applications controlled by Letscelebrate.in (collectively referred to as the “Website” or “Site”) adhere to the following Terms of Use and any future amendments or additions that may be published from time to time.

These Terms of Use (the “Terms”) govern your access to and use of the Website. Please read these Terms carefully, and contact us if you have any questions. By accessing or using the Website, whether as a guest or a registered user, you agree to be bound by these Terms and our Privacy Policy.

This document is an electronic record in terms of the Information Technology Act, 2000 and the rules made thereunder, as applicable, including any amendments pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. Being generated by a computer system, it does not require any physical or digital signature and is accorded legal recognition under the provisions of Section 4 of the Information Technology Act, 2000.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which require the publication of the rules and regulations, privacy policy, and Terms of Use for access to or usage of the website www.letscelebrate.in


1. Eligibility & Acceptance

  • You must be at least 18 years old and legally capable to enter into binding contracts to use our services.

  • By using our website, placing requests, bookings or interacting with us, you accept and agree to comply with these Terms & Conditions.

  • If you do not agree with any part of these terms, please do not use our services.


2. Services & Scope

  • Decoration Services: We provide event decoration, theme décor, floral arrangements, balloon decorations, stage/backdrop design, lighting, drapery, props, venue styling, installation & dismantling, and ancillary decor services.

  • Unless otherwise agreed, we provide the services as per the specifications, site visits, and discussions made in writing/verbal.

  • Any additional services or deviations will require mutual agreement and may lead to additional charges.


3. Proposal, Booking & Confirmation

  • You may request a quote or proposal via our website, contact forms, email, or direct communication.

  • We will send a detailed proposal or quotation which includes scope of work, tentative cost breakdown, timeline, terms of payment, and other relevant terms.

  • The booking becomes effective once you (a) accept the proposal (in writing or by confirming), and (b) make the required deposit or advance payment as specified.

  • Until you confirm and pay, we reserve the right to accept or decline requests and block dates.


4. Prices, Payments & Taxes

  • Prices are as quoted in the proposal and valid for a limited period unless otherwise stated.

  • All local taxes, goods & services tax (GST), transport, labor, logistics, and other applicable charges will either be included or explicitly specified.

  • Payment schedule will typically be:

    1. Advance / Deposit at the time of booking

    2. Interim payments (if applicable)

    3. Final payment before event or on completion

  • If payments are not made as per schedule, we reserve the right to suspend, delay, or cancel services.

  • All payments should be through agreed modes (bank transfer, online payment gateways, etc.).


5. Cancellation & Refund Policy

  • By You (Client):
     • If cancellation is requested before a certain date (e.g. 30 days before event), a portion of advance may be refunded (less non‑refundable costs).
     • If cancellation is late (e.g. within 30 days, or within the setup period), you may forfeit part or all of the advance to cover costs incurred (vendors, materials, logistics).

  • By Us (LetsCelebrate):
     • If we have to cancel due to force majeure or events beyond our control (weather, natural disasters, government restrictions), we will notify you promptly and either reschedule or refund amounts paid (less incurred costs).
     • We may cancel if payment is significantly delayed or terms are breached by the client.

  • The precise cancellation terms and refund percentages should be in the formal proposal agreement.


6. Site Access, Permissions & Responsibilities

  • You must provide accurate site details, measurements, permissions, and relevant information (venue rules, access hours, restrictions).

  • You must ensure that the venue allows our setup (decor, structure, electrical, lighting), and you are responsible for obtaining necessary permissions / approvals from the venue or local authorities.

  • We are not liable for delays or cancellations arising due to venue restrictions, permits, or intervening third parties.

  • You must ensure safe access, power supply, security, and necessary facility support at the venue during setup, event, and teardown.


7. Intellectual Property & Content

  • All materials, designs, photos, website content, logos, images, concepts created by LetsCelebrate are our intellectual property, unless otherwise agreed in writing.

  • You agree not to copy, reproduce, distribute, or use those materials for other purposes without our explicit permission.

  • You grant us a license to use photographs or media of the event for our portfolio, website, promotional use, unless you request otherwise in writing in advance.


8. Changes, Delays & Force Majeure

  • If you request changes (design, materials, scope) after the agreement is confirmed, we will assess and notify any cost or time adjustments.

  • We are not liable for delays or inability to perform due to events beyond our control—natural disasters, weather, strikes, public health emergencies, government orders, etc. (force majeure).

  • In such cases, we will attempt to reschedule or adapt, and refunds (if any) will consider costs we’ve already incurred.


9. Limitation of Liability

  • Under no circumstances shall LetsCelebrate, its employees, agents, or subcontractors be liable for indirect, incidental, consequential, or punitive damages arising from performance or non‑performance of services.

  • Our total liability is limited to the total amount paid by you for the decorated services (or portion thereof) under the agreement—less costs we have already incurred in executing services.

  • This limitation applies to claims of breach, negligence, misrepresentation, or any legal theory.


10. Indemnity

You agree to indemnify, defend, and hold harmless LetsCelebrate, its employees, directors, contractors, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising from or related to:

  • Your breach of any term of these Terms & Conditions

  • Inaccurate or incomplete information you provide

  • Violation of any rights (intellectual property, privacy) by you

  • Any third‑party claims arising from your event or use of our services


11. Privacy & Data Use

  • Your personal information (name, contact, address, event details) is collected to enable us to provide services.

  • We commit to respecting your privacy, and we will not share your private data with third parties except as needed for event execution (vendors, logistics) or as required by law.

  • Our Privacy Policy (linked separately) outlines data retention, security, and your rights.


12. Third‑Party Vendors & Subcontractors

  • We may subcontract parts of the decor work (florists, lighting, carpenters, rental vendors).

  • While we select vendors carefully, we are not liable for acts or omissions of the subcontractors unless due to our own negligence.

  • If a subcontractor fails, we will use reasonable efforts to replace or mitigate, but cannot guarantee.

  • Letscelebrate reserves no liability for the conduct of the subcontractors both in their personal and professional capacity in accordance with the Law or Otherwise.

13. Termination

  • We may suspend, restrict, or terminate services or your access if you breach these Terms & Conditions, fail to make payments, or act in a way that jeopardizes safety or reputation.

  • Upon termination, you forfeit any unpaid amounts, and we may retain and apply deposits toward costs incurred.

  • Certain obligations (e.g., indemnity, liability limitation, intellectual property) will survive termination.


14. Governing Law & Dispute Resolution

  • These Terms & Conditions shall be governed by and construed under the Jurisdiction of the Delhi Courts.

  • Any disputes arising out of or related to this Agreement shall be resolved in courts located in Delhi.

  • You and LetsCelebrate agree to exclusive jurisdiction of those courts.


15. Miscellaneous

  • Entire Agreement: This Agreement (with the proposal/quotation) constitutes the entire understanding between you and us and supersedes prior discussions. By placing an order on our website you enter into an agreement with Letscelebrate.

  • Amendments: We may update or modify these Terms & Conditions. Changes will be posted on the website with a new “Last Updated” date. Continued use constitutes acceptance.

  • Severability: If any provision is held invalid or unenforceable, the other provisions remain in effect.

  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right in the future.

  • Assignment: You cannot assign or transfer your rights/obligations under this agreement without our written consent. We may assign our rights/obligations.
